These Terms of Service ("Terms") are a legally binding agreement between you ("you", "User", or "Customer") and Visibil Technologies Ltd. ("Visibil", "we", "our", or "us"), governing your access to and use of the Visibil platform, application, and related services (the "Services"). By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Visibil Service
Visibil is an AI-powered agent that autonomously implements SEO (Search Engine Optimization) and AEO (Answer Engine Optimization) changes directly within your connected CMS. The Services include, but are not limited to:
Automated on-page SEO implementation (meta tags, heading structure, schema markup, and related changes) applied directly to your website via your connected CMS;
Answer Engine Optimization, including content formatting designed to improve citation visibility across AI platforms such as ChatGPT, Gemini, and Claude;
Brand citation monitoring across AI-powered search engines;
Integration with third-party platforms including Google Search Console and Google Analytics 4 to correlate implemented changes with traffic and ranking outcomes; and
An approval and change-tracking workflow that records all modifications made to your CMS.
Important: The Services operate by writing changes directly to your CMS via its API (currently supported: HubSpot; additional CMS platforms may be added over time). By connecting your CMS account to Visibil, you explicitly authorize Visibil to read, create, and modify content within your CMS as directed by the platform and subject to your approval settings. You remain in full control via Visibil's approval workflow and may revoke access at any time.
1.1 Service Updates
Visibil continuously develops and improves the Services. Features, interfaces, and functionality may be added, modified, or removed over time. Visibil will provide reasonable notice of changes that materially affect your use of the Services where practicable, but is not obligated to maintain any specific feature or configuration indefinitely. Continued use of the Services following any update constitutes your acceptance of the updated Services.
2. Eligibility and Registration
To use the Services, you must:
Be at least 18 years of age;
Have the legal authority to enter into these Terms on behalf of yourself or the organization you represent;
Provide accurate, complete, and current registration information; and
Hold an active account with a supported CMS platform and have the authority to authorize third-party integrations within that account.
You are responsible for maintaining the confidentiality of your Visibil account credentials. You must notify us immediately if you suspect unauthorized access to your account. Visibil is not liable for loss or damage arising from your failure to protect your credentials.
3. Authorization to Access Your Connected CMS
By connecting your CMS account to Visibil, you grant Visibil permission to:
Access your CMS data, including pages, blog posts, metadata, and site content;
Read performance and analytics data available through your CMS's API;
Create, modify, and publish changes to content within your CMS, subject to any approval workflows you have configured; and
Retrieve data from connected integrations, including Google Search Console and Google Analytics 4, where you have separately authorized those connections.
This authorization is governed by your CMS platform's API terms and your subscription with that platform. Visibil does not store your CMS credentials. Access is maintained via OAuth tokens, which you may revoke at any time through your CMS account settings or by disconnecting Visibil from within the platform.
You acknowledge that:
You are responsible for all changes implemented by Visibil within your connected CMS while your authorization is active;
You have the authority to grant Visibil access to the relevant CMS account; and
Revoking access will prevent Visibil from implementing further changes but does not automatically revert previously implemented changes.
4. Your Responsibilities
You agree to:
Use the Services only for lawful purposes and in accordance with these Terms;
Ensure that your use of the Services does not violate your CMS platform's terms of service or any third-party platform terms;
Review and approve any changes proposed by Visibil before they are published, unless you have explicitly enabled auto-implementation;
Maintain your own backups of website content and CMS data; and
Promptly notify Visibil of any errors, unintended changes, or issues arising from the use of the Services.
You agree not to:
Attempt to reverse-engineer, decompile, or extract the underlying AI models or proprietary systems used by Visibil;
Use the Services to implement changes that violate search engine guidelines, constitute spam, or engage in deceptive SEO practices;
Resell, sublicense, or distribute access to the Services without Visibil's prior written consent; or
Use the Services in a way that could damage, overload, or impair the Visibil platform or your CMS platform's infrastructure.
5. Third-Party Platforms and Integrations
The Services integrate with third-party platforms including your CMS provider, Google Search Console, and Google Analytics 4. Visibil is not affiliated with, endorsed by, or responsible for these platforms. Your use of those platforms is governed by their respective terms of service and privacy policies.
Visibil's functionality may be affected by changes to third-party APIs, access policies, or account configurations outside of Visibil's control. Visibil is not liable for any disruption, loss of access, or change in functionality arising from such third-party changes.
6. Fees and Payment
Fees for the Services are as stated on Visibil's pricing page or in any applicable order form. Where fees apply:
Fees are payable in advance on a monthly or annual basis, as selected at purchase;
All fees are exclusive of applicable taxes, which are your responsibility;
Visibil reserves the right to update pricing at any time, with reasonable notice provided to existing subscribers before changes take effect;
Refunds are not provided for partial billing periods, except where required by applicable law; and
Visibil reserves the right to suspend access for non-payment after reasonable notice.
7. Intellectual Property
Visibil's IP: The Visibil platform, AI models, software, proprietary methodologies, and all associated intellectual property remain the exclusive property of Visibil Technologies Ltd. These Terms do not transfer any ownership rights to you.
Your IP: You retain all ownership of your website content, CMS data, and any materials you provide to Visibil. By using the Services, you grant Visibil a limited, non-exclusive license to access and process your content solely for the purpose of providing the Services.
Outcome Data: Visibil may collect and use anonymized, aggregated data about SEO and AEO outcomes (e.g., the category of change implemented and the category of traffic result observed) to improve the platform and its underlying models. This data will not identify you, your business, or your website without your explicit consent.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VISIBIL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
In particular, Visibil does not warrant that:
The Services will produce specific SEO or AEO outcomes, including improvements in search rankings, organic traffic, or AI citation rates;
The Services will be uninterrupted, error-free, or free from defects;
Any implemented changes will comply with future algorithm updates by search engines or AI platforms; or
Results achieved in any period will be sustained or replicated in subsequent periods.
SEO and AEO outcomes are influenced by numerous factors outside Visibil's control, including search engine algorithms, competitor activity, domain authority, and content quality. Visibil makes no guarantee of specific results.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VISIBIL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS, OR REPUTATIONAL HARM, EVEN IF VISIBIL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VISIBIL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO VISIBIL IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) USD $500.
NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Visibil and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
Your breach of these Terms;
Your use of the Services in violation of any applicable law or third-party rights;
Your CMS account content or any changes implemented by Visibil at your direction; or
Any dispute between you and a third party related to your use of the Services.
11. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with these Terms that is designated as confidential or that a reasonable party would understand to be confidential given the circumstances of disclosure. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
12. Term and Termination
These Terms commence when you first access the Services and continue until terminated. Either party may terminate these Terms at any time with written notice.
Visibil may suspend or terminate your access immediately if you:
Breach any provision of these Terms;
Use the Services in a way that poses a legal or reputational risk to Visibil;
Fail to pay applicable fees after notice; or
Act in a manner inconsistent with Visibil's acceptable use standards.
Upon termination, your access to the Services will cease. Visibil will retain your data for a period of 30 days after termination, after which it may be deleted. Sections 7, 8, 9, 10, and 13 survive termination.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services that cannot first be resolved through good-faith negotiation between the parties shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from any court of competent jurisdiction to protect its intellectual property rights pending arbitration.
You agree that any claims against Visibil will be brought solely in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
14. Changes to These Terms
Visibil may update these Terms from time to time. If we make material changes, we will notify you by email or through the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services before the effective date.
General
Entire Agreement: These Terms, together with any applicable order form, constitute the entire agreement between you and Visibil regarding the Services and supersede all prior agreements or representations.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver: Visibil's failure to enforce any provision of these Terms is not a waiver of its right to do so in the future.
Assignment: You may not assign these Terms without Visibil's prior written consent. Visibil may assign these Terms in connection with a merger, acquisition, or sale of assets.
